Schneider Power Three-Year History
In September 2003, Bernd Schneider and Thomas Schneider began discussions about engaging the family's expertise in power generation to develop renewable energy projects, in particular wind power projects in Ontario and commenced efforts to establish their first wind power project, which eventually became the Providence Bay Wind Farm.
They incorporated Schneider Power on April 14, 2004 and in September 2004 Schneider Power acquired the 400 acres of land underlying the Providence Bay Wind Farm and the Providence Bay Expansion Project from Thomas Schneider. Schneider Power's activities in late 2004, 2005 and early 2006 were focused on gathering wind data, and obtaining land leases, permits and EA's for additional project sites across Ontario, Manitoba and Nova Scotia.
In early 2005, Schneider Power was successful in obtaining long-term easement agreements respecting 20,000 acres for three additional wind power project sites in Manitoba and submitted its interconnection request for a total of 120 MW of additional nameplate capacity of wind power to Manitoba Hydro.
In February 2005, Schneider Power purchased, through its subsidiary Schneider Power International Inc., a minority interest in JB, which in turn owned, and continues to own, 5.4 MW of generating capacity in the Flomborn and Olsbruecken Wind Farms.
In June 2005, Schneider Power was granted a 25 year electricity generator and wholesaler license by the OEB.
In late 2005, Schneider Power established turbine supplier relationships by executing a four-year 300 MW wind turbine pipeline agreement with a consortium consisting of General Electric Canada, an Ontario partnership and GE Wind Inc. and executing its first wind turbine purchase agreement with Enercon for the delivery and installation of wind turbines for the Providence Bay Wind Farm.
In 2005, Schneider Power completed a private placement of Schneider Power Common Shares raising $797,698 and an additional $350,000 by way of the issuance of a convertible debenture, the proceeds of which were used to finance working capital, deposits and development expenditures.
In early 2006 Schneider Power secured the real estate and interconnection rights in respect of what has become the Goodwins Island Wind Farm project, for a total nameplate capacity of 20 MW and three additional project sites in Ontario, the Arthur Wind Farm Project, Trout Creek Wind Farm Project and
Innisfil Wind Farm Project for a total of 30 MW of additional nameplate capacity.
In the spring of 2006, Schneider Power successfully completed its first EA and obtained all required building permits for its Providence Bay Wind Farm and was successful in executing the Bullfrog PPAs.
In September 2006, Schneider Power completed a private placement of Schneider Power Common Shares raising $4,378,000 and an additional $590,000 by issuance of convertible debentures, the proceeds of which were used to finance construction of the Providence Bay Wind Farm and for working capital.
In the third quarter of 2006, project construction at the Providence Bay Wind Farm commenced with the construction of roadways and foundations for the first two wind turbine generators. On March 25, 2007 Schneider Power successfully commissioned and put into operation the first two wind turbine generators at the Providence Bay Wind Farm.
On March 5, 2007, Schneider Power received a commitment for a $2.7 million senior secured nonrecourse credit facility from "CUCO". The proceeds from this credit facility were used to partially fund the Providence Bay Wind Farm, which had at the time already been constructed and been commissioned.
In November 2007, Schneider Power completed an interconnection feasibility study with NSPI for 20 MW of nameplate capacity at Goodwins Island Wind Farm Project.
In late 2007 Schneider Power was successful in executing three 20-year power purchase agreements with the OPA for a total nameplate capacity of 26.5 MW for the Providence Bay Expansion Project, the Arthur Wind Farm Project and Trout Creek Wind Farm Project and submitted an application for additional capacity in the amount of 10 MW for the Innisfil Wind Farm Project.
In 2007, Schneider Power completed a private placement of Schneider Power Common Shares in the amount of $2.7 million and converted a $200,000 convertible debenture into Schneider Power Common Shares.
In the first quarter of 2008, Schneider Power successfully secured interconnection rights to 10 MW at the Crystal Falls Solar Project.
On March 25, 2008, the Providence Bay Wind Farm successfully completed its first year of operation. Electricity generation at the facility for the period ending March 25, 2008 was 3.07 million kW/h, 13.5% above the energy yield forecast conducted by an independent wind energy consultant retained by Schneider Power.
On April 2, 2008, Schneider USA entered into the JW MOU, a non-binding memorandum of
understanding concerning a proposed co-operation with JW, a wholly owned subsidiary of German wind project developer Juwi GmbH, for the joint development of up to 300 MW of wind energy projects in the United States. Under the terms of the JW MOU, it is proposed that JWUS would jointly develop wind projects with Schneider Power in the Northeastern United States, Midwest, and Texas transmission corridors
In the second quarter of 2008 Schneider Power completed its EA field work for its Arthur Wind Farm Project and Trout Creek Wind Farm Project.
In May 2008, Schneider Power successfully completed its interconnection feasibility study with Manitoba Hydro Inc. for 120 MW of nameplate capacity for the Hilltop Heights Wind Farm Project.
